Lochlann Woodall

Associate
Lochlann is an associate in Cooper Grace Ward’s corporate advisory team, providing practical advice on a range of corporate and commercial issues.

In his role, Lochlann provides legal advice and support on a wide variety of corporate and commercial areas, including corporate governance, mergers and acquisitions, commercial contracting, shareholder issues and associated agreements, trade mark protection and registration, intellectual property ownership and licensing and competition and consumer laws.

Lochlann has worked with a broad range of clients, including individuals, SMEs, not-for-profit organisations, large corporate groups, listed entities, in-house counsels and other advisers.

Corporate and commercial

  • Advising on corporate governance and structuring matters.
  • Advising on, preparing and negotiating a wide range of commercial agreements.
  • Advising on shareholder issues, including preparing and advising on shareholder agreements.
  • Working with clients to prepare a variety of standard form contracts for use in their businesses, including supply terms and conditions and liability waivers.

Mergers and acquisitions

  • Providing support and assistance on mergers and acquisitions matters, including with due diligence, preparing and negotiating complex transaction documents and completion.
  • Acting for the Australian subsidiary of a large US-based supplier of construction, forestry and agricultural machinery and parts in relation to the acquisition of shares in an operator of commercial trucking dealerships.
  • Acting for a supplier of earthmoving parts and machinery in relation to the sale of a division of its business.

Competition and consumer law

  • Advising corporations on various competition and consumer law issues and requirements.
  • Providing organisation-wide competition and consumer law compliance training.
  • Acting for a caravan manufacturer in response to an ACCC investigation relating to allegations of misleading or deceptive conduct and false or misleading representations.
  • Conducting compliance reviews and providing advice in relation to clients’ marketing materials and websites.
  • Advising small and large businesses on Australia’s unfair contract term laws, including through contract reviews and drafting.

Intellectual property

  • Assisting clients on a broad range of intellectual property matters, including preparing intellectual property licence agreements, advising on ownership and protection of intellectual property and advising on and preparing confidentiality agreements.
  • Advising on and successfully registering trade marks and overcoming adverse reports issued by IP Australia.
