Kathy Prince

Special Counsel
With experience both in-house and in private practice, Kathy is a real estate lawyer with unique capabilities in the property, infrastructure, energy transition and renewables sectors.

Kathy’s transactional experience includes advising property owners and investors on large scale acquisitions, disposals and leasing. Kathy also advises on structuring and implementation of major infrastructure projects and developments.

Kathy has experience across a range of industry sectors, particularly providing services and support on real estate assets, infrastructure projects, and energy transition and renewables projects. Her leadership within the industry includes committee roles with WISER (Women in Sustainable Energy and Resources) and the Queensland Law Society Energy and Resources Committee.

Real estate

  • Acting for Growthpoint Properties Australia Limited on their capital transactions, and retail, office and industrial leasing in Queensland.
  • Acting for Centuria/Primewest on their leasing and major acquisitions in Queensland, including the sale of five neighbourhood shopping centres across South Australia, Queensland and Western Australia to Shopping Centres Australia.
  • Acting for LaSalle on major acquisitions and disposals, including the sale of Cascom Shopping Centre, Northern Territory and the acquisition of Post Office Square Shopping Centre, Brisbane.
  • Representing the Cromwell Group, Vicinity Centres, BP, ESR, Caltex, Coles, Goodman and GPT on their major transactions and leasing.
  • Acting for Linfox on the real estate aspects for the acquisition of Aurizon’s Queensland Intermodal Business, including Aurizon’s freight forwarding and pick-up-and-delivery assets, rail wagons, customer contracts, employees, and access to terminals including Acacia Ridge and the acquisition of rail terminals in Rockhampton and Emerald.
  • Acting for St Vincent de Paul Society Queensland providing general and strategic advice on their real estate portfolio.

Infrastructure

  • Acting for Queensland State Government (Department of State Development and Infrastructure) on the Queen’s Wharf Brisbane project, including:
    • lead counsel for the competitive bid process, negotiation and finalisation of project documentation with the preferred proponent (Destination Brisbane Consortium)
    • advising on the proposed structuring and delivery of this landmark integrated resort project in Brisbane, with contract documentation closing in November 2015
    • advising on the drafting of project specific legislation and briefing the Minister for Department of Justice and Attorney-General, during political debate on the legislation in Parliament.
  • Acting for Queensland State Government (Department of State Development and Infrastructure) on numerous other matters, including:
    • the competitive bid process for the Gold Coast and Cairns Integrated Resort Developments, including the preparation of project documentation for the bid process
    • the implementation of the Mary Valley Development Strategy and divestment strategy, involving the large‑scale disposal and grant of development leases for the several hundred properties held by the Coordinator General following the rejection of the proposed Traveston Dam
    • the restructuring of 75 titles between the Coordinator General and the Department of Transport and Main Roads for the upgrade of the Bruce Highway and construction of the Mary Valley Link Road
    • advising on the structuring, negotiation and finalisation of documentation for the Lutwyche Road housing development involving the disposal of previously resumed land by the Department of Transport and Main Roads
    • advising on tenure documentation for the construction of the Velodrome and upgrade of Belmont Shooting Range for the Gold Coast Commonwealth Games 2018
    • advising on the documentation for the LNG infrastructure corridors feeding into Curtis Island, including Stanwell-Gladstone SDA, Callide SDA, and the Surat Basin SDA
    • advising on the structuring, and delivery of competitive bid processes for the upgrade of community infrastructure.
  • Acting for Queensland State Government (Department of Environment Science and Innovation) on various matters including:
    • the registration of carbon abatement interests
    • the acquisition of land for carbon sequestration projects, and the sale of land for conservation purposes, including koala habitats.
  • Acting on the real estate aspects for Denison Gas, on the acquisition of Santos and APLNG gas and petroleum assets in Maranoa, Central Qld, by Orient (Denison Trough) Pty Ltd, owned by Orient Energy Pty Ltd and Shandong Order Gas Co Ltd.

Energy transition and renewables

  • Acting for:
    • HyNQ (joint venture between Energy Estate, Idemitsu, CS Energy and IHI Corporation), on the finalisation of option agreements for the creation of green energy for green hydrogen, green ammonia and an industrial renewable energy hub in Bowen, Queensland
    • RES Australia, on the development, financing, and sale of Emerald Solar Farm, which benefits from the first Telstra Corporate PPA
    • CQP (Central Queensland Power, a joint venture between Energy Estate and RES), on the finalisation of option agreements to secure the land for both wind and solar projects including Moah Creek Wind Farm, located 30 kilometres west of Rockhampton in Central Queensland and forming part of a larger integrated CQP project that has more recently been jointly developed by CleanCo Queensland, RES and Energy Estate and the first in a portfolio of up to 2.3 GW of projects to progress under a partnership between CleanCo and CQP
    • Pacific Blue on securing land for existing and proposed renewable energy projects (pumped hydro and solar) in Queensland, including Haughton 2 (solar/BESS) for 300 MW
    • Squadron Energy on the development of template documentation to secure land for the investigation and development of wind projects in Queensland
    • Vast Solar in the provision of advice for securing land for solar farm developments, including securing land for a baseload solar thermal plan in Mount Isa, combining solar thermal, solar PV, battery storage and fast‑acting gas generators, to generate 500 MW of generation and storage capacity
    • Iberdrola Energy on the development of transaction documentation for solar farms in Queensland and the Northern Territory
    • Wirsol Energy, on the development, financing and acquisition of the Whitsunday and Hamilton Solar Farm Projects (‘Project Haensel’), and the merchant financing for the Clermont Solar Farm
    • BlackRock, on the development, financing and acquisition of Daydream and Hayman Solar Farm Projects (‘Project Gretel’)
    • Toowoomba Regional Council, including advising on the tenure documentation required for the proposed landfill gas resource at Toowoomba Waste Management Facility, for electricity supply
    • Kullilli Bulloo River Aboriginal Corporation (KBRAC) on the acquisition of Thargomindah Station for $6.2m (August 2023), funded by the establishment and management of a carbon project by Climate Friendly and financed by Conscious Investment Management.
