The non-tax aspects of a restructure can be just important, if not more so, than the tax issues, according to Cooper Grace Ward partner Clinton Jackson.

‘While we are often focused on the tax consequences of a restructure, the commercial considerations can be equally as significant to the health of the client’s finances and the success of the restructure,’ Mr Jackson said.

‘Even in a transfer between related parties it is important to consider things like employee entitlements, IP and client and supplier contracts, and ensuring all assets are properly transferred,’ he continued. ‘Failure to do so can have major adverse, even fatal, consequences on the business going forward’.

Mr Jackson will challenge attendees to think about non-tax aspects of restructuring clients at Cooper Grace Ward’s upcoming Adviser Training Day on Friday 24 March. Now in its eighth year, the adviser training day is an intensive full-day conference covering a range of topics designed to assist professional advisers in the issues they face on a day to day basis.

It will be accompanied by the Annual SMSF Conference on Thursday 23 March, which includes an SMSF Back to Basics session, update on the previous year in the SMSF space followed by an exclusive workshop addressing SMSF and estate planning issues after the 2016 Budget.

Both the Adviser Training Day and the Annual SMSF Conference will feature presentations from lawyers specialising in tax, revenue, superannuation, estate planning, workplace relations and other areas of commercial law.
